By creating an account or using Papaya Desk, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our service.

2. Description of Service

Papaya Desk is a client management platform that provides tools for managing client relationships, invoicing, messaging, file sharing, and client portals. We reserve the right to modify, suspend, or discontinue any part of the service at any time.

3. Account Registration

To use Papaya Desk, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized account access
• Be responsible for all activities under your account

4. Subscription and Billing

Free Plan

We offer a free plan with limited features. Free accounts are subject to usage limits as described on our pricing page.

Paid Plans

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the free plan.

Price Changes

We may change our prices at any time. Price changes will be communicated at least 30 days in advance and will apply to your next billing cycle.

5. Your Data and Content

Ownership

You retain all rights to the data and content you upload to Papaya Desk. We do not claim ownership of your content.

License to Us

By using our service, you grant us a limited license to host, store, and display your content solely for the purpose of providing the service to you.

Your Responsibilities

You are responsible for:

• The accuracy and legality of content you upload
• Obtaining necessary consents from your clients before storing their information
• Complying with applicable data protection laws
• Maintaining backups of your important data

6. Acceptable Use

You agree not to use Papaya Desk to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Send spam or unsolicited communications
• Store or transmit illegal content
• Resell or redistribute the service without authorization

7. Client Portal

If you use our client portal feature, you are responsible for the relationship with your clients who access the portal. You must ensure your clients are informed about how their data is used and obtain any necessary consents.

8. Third-Party Services

Papaya Desk integrates with third-party services such as Stripe for payment processing. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the actions of third-party service providers.

9. Intellectual Property

Papaya Desk, including its design, features, and content (excluding user content), is owned by Negentropy Solutions LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

10. Disclaimer of Warranties

PAPAYA DESK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEGENTROPY SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Negentropy Solutions LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time if you violate these Terms or for any other reason at our discretion. Upon termination, your right to use the service will immediately cease. You may export your data before termination where technically feasible.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Sacramento County, California.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the service after changes are posted constitutes acceptance of the modified Terms.

16. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Negentropy Solutions LLC regarding the service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
